TVS Motor Company on Monday said it will acquire a 4.90 per cent stake in Jana Small Finance Bank for ₹193.31 crore in an all-cash transaction.

The proposed acquisition involves the purchase of 51,60,903 equity shares of Jana Small Finance Bank, representing 4.90 per cent of the bank’s paid-up share capital as on May 18, 2026.

TVS Motor said the acquisition is intended to provide better insight into the banking ecosystem and enable mutual collaboration in various areas for the long-term success of Jana Small Finance Bank, subject to applicable laws.

The deal is expected to be completed within three months from May 18, subject to the fulfilment of customary conditions precedent under the share purchase agreement, the company stated in an exchange filing.

Jana Small Finance Bank, incorporated on July 24, 2006, is the fourth-largest small finance bank in India in terms of assets under management and deposit size as of March 31, 2026, the exchange filing stated.

As per its audited financial statements for FY26, the bank reported total income of ₹6,374.76 crore, profit after tax of ₹326.43 crore and net worth of ₹4,215.50 crore.

Its total income has grown over the last three years from ₹4,684.06 crore in FY24 to ₹5,447.17 crore in FY25 and ₹6,374.76 crore in FY26.
