Samvardhana Motherson International Limited on Thursday said it has completed the dissolution and deregistration of its indirect wholly owned subsidiary, GIE Groupe AD, in France, following approval from the country’s Commercial Register.

The company said GIE Groupe AD, which was part of the ADI Group acquisition completed in May 2024, was not carrying out any business operations. Consequently, its shareholders approved the dissolution, which has now been formally cleared by the French authorities.

The dissolution was approved on April 14, 2026, with effect from November 1, 2017, and the deregistration process has since been completed, the company informed stock exchanges in a regulatory filing.Motherson noted that the subsidiary had negligible financial relevance. During FY25, GIE Groupe AD reported other income of €122,917, while its net worth stood at nil. The unit contributed 0.00 per cent to both the consolidated revenue and net worth of the company.The company stated that the move does not involve any sale or disposal transaction and is part of internal restructuring, with no material impact on its financials.
