Rani Kapur, former Chairperson of Sona Comstar and wife of late industrialist Dr Surinder Kapur, has urged the company’s Board to postpone its 29th Annual General Meeting (AGM) scheduled for July 25, citing “deep mourning” following the sudden death of her son, Sanjay Kapur, in the UK last month, ANI reports.

In a letter to the Board and shareholders, Kapur raised serious concerns over transparency and governance, alleging that she was coerced into signing documents during a period of vulnerability and has since been denied access to key financial and corporate information.

She also claimed that unauthorised individuals are attempting to push Board appointments without her consent, despite her position as majority shareholder in the Sona Group through her late husband’s estate.“I have not given any consent or nominated anyone to represent me,” she stated, while warning the Board that proceeding without her input would be seen as a deliberate act against the interests of the family and the company.The proposed AGM includes key resolutions that Kapur said could have long-term implications. She has requested a minimum two-week deferment to allow time for proper scrutiny.

Her legal counsel, Senior Advocate Vaibhav Gaggar, confirmed the communication and said while no legal action has yet been initiated, the family expects a responsible response from the Board. The letter has also been marked to SEBI.
